How to Register a Company?

A company or corporation is an innovative and sophisticated business organization, which is the most law-making organization and owned and operated by the shareholders.

 

Section 2(1-T) of the Companies Act 1994 in force in Bangladesh defines a private company organization as a private limited company which according to its rules and regulations should limit its maximum number of members to 50.

 

It limits members’ right to transfer shares and prohibits public calls for the purchase of shares and debentures.

How to Register a Limited Company?

Some important points / rules for registering a limited company:

 

Authorized Capital

The authorized capital of a registered company is the maximum amount of capital that is distributed among each of the shareholders. The number of such amounts must be clearly mentioned in the Memorandum of Association and Articles of Association and these documents should be properly prepared before registration.

Paid-Up-Capital

At the time of company registration, the paid-up capital or capital of a company should be at least 1 taka. After registration, any amount within the approved limit can be used as the company’s capital.

Directors

The number of directors of a limited company should be at least two (resident or non-resident) and the designation of the directors and the number of shares should be clearly mentioned in the articles of association of the company. It should be noted that if a person is below 18 years of age or proved to be insolvent or involved in any kind of financial criminal activity, the directors will be considered incompetent.

Partners

The number of partners in a private limited company can range from a minimum of 2 to a maximum of 50 people. In the case of a public limited company, the number will be minimum 7 to infinity.

Registration Address

For company registration, a relevant address (commercial or residential) must be provided which will be considered to be the registered address of the company.

Limited Company Registration Process:

Step 1: Name clearance

The first step in the company registration process is to obtain a clearance from the Registrar of Joint Stock Companies and Firms for the name of the company.

Step 2: Prepare the necessary documents:

All the documents required to register the company. According to the Companies Act, 1994, the documents required in the case of a private company.

  1. Tin Certificate Copy
  2. Trade License Copy
  3. Bin Certificate Copy
  4. NID Copy
  5. Filled in Form I: Declaration on registration of Company;
  6. Filled in Form VI: Notice of situation of registered office;
  7. Filled in Form IX: Consent of director to act; 
  8. Filled in Form X: List of persons consenting to be directors;
  9. Filled in Form XII: Particulars of the directors, manager and managing agents.
