The authorized capital of a registered company is the maximum amount of capital that is distributed among each of the shareholders. At the time of company registration, the paid-up capital or capital of a company should be at least 1 taka. After registration, any amount within the approved limit can be used as the company’s capital.
The number of directors of a limited company should be at least two (resident or non-resident) and the designation of the directors and the number of shares should be clearly mentioned in the articles of association of the company. It should be noted that if a person is below 18 years of age or proved to be insolvent or involved in any kind of financial criminal activity, the directors will be considered incompetent.
The number of partners in a private limited company can range from a minimum of 2 to a maximum of 50 people. In the case of a public limited company, the number will be minimum 7 to infinity.
