How to Register a Company in Bangladesh?

Starting a business in Bangladesh requires legal incorporation through the Registrar of Joint Stock Companies and Firms (RJSC). Company registration provides your business with legal recognition, enhances credibility, and allows you to operate in compliance with Bangladeshi laws and regulations.

The entire incorporation process is conducted online through the RJSC portal and involves obtaining name clearance, preparing incorporation documents, opening a temporary bank account, and submitting the required information for approval.

Step 1: Obtain Name Clearance

Before registering a company, you must ensure that your proposed company name is unique and available for registration.

How to Apply

  • Create an account on the RJSC Online Portal.
  • Submit your proposed company name for approval.
  • Pay the prescribed government fee (approximately BDT 600).
  • Wait for the name clearance approval.

Validity

Once approved, the reserved company name remains valid for six (6) months, during which the incorporation process must be completed.

Step 2: Open a Temporary Bank Account

After obtaining name clearance, a temporary bank account must be opened in the proposed company’s name.

Capital Deposit

The shareholders are required to deposit the initial paid-up capital into the account.

Bank Encashment Certificate

Upon receiving the capital deposit, the bank issues a Bank Encashment Certificate, which serves as proof that the initial capital has been deposited and remitted to the company's account.

Step 3: Prepare the Incorporation Documents

The following documents must be prepared before submitting the incorporation application:

Memorandum of Association (MoA)

The Memorandum of Association outlines the company's objectives, business activities, authorized capital, and scope of operation.

Articles of Association (AoA)

The Articles of Association define the internal management structure, governance rules, and operational procedures of the company.

Statutory Forms

Required statutory forms include:

  • Form IX – Consent of Director to Act
  • Form XII – Particulars of Directors
  • Other applicable forms as required by RJSC

Identification Documents

Applicants must provide:

  • National Identity Card (NID) or Passport copies
  • Passport-sized photographs of shareholders and directors

Step 4: RJSC Submission and Company Incorporation

Online Submission

Log in to the RJSC portal and upload all required documents, including:

  • Memorandum of Association (MoA)
  • Articles of Association (AoA)
  • Statutory Forms
  • Bank Encashment Certificate
  • Shareholder and Director Information

Government Fees

Registration fees and stamp duties are payable based on the company's authorized capital structure.

Certificate of Incorporation

Once RJSC reviews and approves the application, the following documents are issued:

  • Certificate of Incorporation
  • Certified Memorandum of Association (MoA)
  • Certified Articles of Association (AoA)
  • Form XII (Particulars of Directors)

The company becomes a legally recognized entity upon issuance of the Certificate of Incorporation.

Step 5: Obtain Post-Registration Licenses and Compliance Certificates

After incorporation, several additional registrations and licenses may be required before commencing business operations.

Trade License

A Trade License must be obtained from the relevant City Corporation, Municipality, or Union Parishad.

TIN (Tax Identification Number)

Every company must obtain an e-TIN from the National Board of Revenue (NBR) for income tax compliance.

BIN (Business Identification Number)

A BIN Certificate (VAT Registration) may be required depending on the nature of the business and applicable VAT regulations.

Industry-Specific Licenses

Certain businesses may require additional permits, such as:

  • Import Registration Certificate (IRC)
  • Export Registration Certificate (ERC)
